These Terms & Conditions (the Terms) govern access to and use of the Airserve software platform and related services (the Service). By creating an account, accessing, or using the Service, you agree to these Terms.

If you are using the Service on behalf of a business, you confirm that you have authority to bind that business and accept these Terms on its behalf.

2. DefinitionsAccount:
An account created to access the Service.Customer: the business entity using or purchasing the Service.Users: individuals authorised by the Customer to use the Service.Customer Data: data submitted, uploaded, or generated through the Service.Subscription: the selected paid plan and billing cycle.Order: an online checkout or written agreement confirming pricing and scope.Free Tier: any version of the Service offered at no charge.

3. Business Use
The Service is provided for business use only. You confirm that you are using the Service in the course of trade, business, or profession and not as a consumer.

4. Accounts and Security
You are responsible for maintaining accurate account information, safeguarding login credentials, and all activity under your Account.
You must notify us promptly of any unauthorised access.

5. The Service
We will provide the Service substantially as described on our website and in your Order.
We may update, modify, or improve the Service from time to time, including features, interfaces, and integrations, for operational, security, compliance, or product development reasons.6. Free Tier, Trials, and Promotions

6.1 Free Tier
We may offer parts of the Service at no charge (Free Tier). The Free Tier is provided at our discretion and may be changed, restricted, suspended, or withdrawn at any time.
6.2 Notice for Free Tier Changes
Where we withdraw or materially restrict the Free Tier, we will use reasonable efforts to provide not less than ninety (90) days’ notice, unless immediate action is required for legal, security, misuse, or operational reasons.
6.3 Move to Paid Plans
If the Free Tier is withdrawn or restricted, continued use of affected features may require a paid Subscription.
6.4 Trials and Promotions
Trials and promotional pricing may be offered from time to time and are subject to these Terms and any stated conditions.

7. Subscriptions, Fees, and Billing
7.1 Fees Subscription fees are as displayed at checkout or in your Order.
7.2 Term and Renewal
Unless otherwise agreed in writing:
a) All paid Subscriptions are subject to a minimum commitment period and automatically renew for successive terms;b) Subscriptions will continue until terminated in accordance with these Terms.
7.3 Cancellation and Notice (Paid Plans)
For all paid Subscriptions:
a) Either party may terminate for convenience by giving not less than ninety (90) days’ written notice prior to the end of the current billing term;
b) Cancellation requests must be submitted via the account dashboard or in writing to info@panagor.com;c)
If valid notice is not given, the Subscription will renew and fees for the next term will remain payable;d) Cancellation within Stripe or another payment system does not override this contractual notice requirement.
7.4 Payment
You must maintain valid payment details. Failure to pay may result in suspension or termination.
7.5 Stripe Payments

All subscription payments are processed by Stripe Payments Europe, Ltd. and its affiliates (Stripe).
By submitting payment information, you authorise us and Stripe to process payments in accordance with these Terms and Stripe’s own terms and privacy policy.
We do not store full card details. Payment data is handled securely by Stripe.
We are not responsible for service failures originating from Stripe, except where required by law.
7.6 Price Changes
We may change pricing. Changes will apply from the next renewal period with reasonable notice.
7.7 Taxes
Fees exclude VAT and other applicable taxes unless stated otherwise.
7.8 Refunds
Fees are non-refundable except where required by law or expressly agreed in writing.8. Acceptable Use
You must not:use the Service unlawfully;reverse engineer, copy, or exploit the Service;resell or sublicense access;develop competing products using the Service;upload malicious software;overload or disrupt systems;provide unauthorised access.
We may suspend access for breaches of this section.

9. Customer Data
9.1 Ownership
You retain ownership of Customer Data.
9.2 Licence
You grant us a licence to process Customer Data solely to provide, maintain, improve, and support the Service and meet legal obligations.
9.3 Responsibility
You are responsible for ensuring you have lawful rights and consents for all Customer Data.
9.4 Data Export and Deletion
Following termination, we may provide limited access to export data before deletion, subject to law.

10. Data Protection and Privacy
Our processing of personal data is governed by our Privacy Policy and UK GDPR.
Where required, we act as data processor and you act as controller.

11. Third-Party Services
Integrations with third-party services are subject to their own terms. We are not responsible for third-party systems or failures.

12. Intellectual Property
All intellectual property in the Service belongs to us or our licensors.
You are granted a limited licence to use the Service during your Subscription for internal business purposes only.

13. Support
Support is provided in accordance with your plan and our current support policies.

14. Suspension and Termination
14.1 Suspension
We may suspend access for non-payment, security risks, legal requirements, or material breach.
14.2 Termination for Breach
We may terminate these Terms on written notice if a material breach is not remedied within 14 days.
14.3 Effect
On termination, access ceases and outstanding fees remain payable.

15. Confidentiality
Each party must protect the other’s confidential information and use it only for performance of these Terms.

16. Warranties and Disclaimers
We will provide the Service with reasonable care and skill.
Except as stated, the Service is provided “as is” without warranties to the maximum extent permitted by law.
We do not guarantee business outcomes.

17. Limitation of Liability
17.1 Exclusions
Nothing limits liability for death, personal injury, fraud, or non-excludable liability.
17.2 Excluded Losses
We are not liable for indirect, consequential, or economic losses.
17.3 Cap
Our total liability is limited to fees paid in the 12 months preceding the claim.

18. Indemnity
You agree to indemnify us against claims arising from misuse of the Service, unlawful data, or breach of these Terms.

19. Marketing and Publicity
We will not use your name, logo, or branding without your prior written consent.

20. Changes to These Terms
We may update these Terms from time to time. Continued use constitutes acceptance.

21. Assignment
You may not assign these Terms without our consent. We may assign as part of a business transfer.

22. Force Majeure
Neither party is liable for failures beyond reasonable control.

23. Entire Agreement
These Terms and referenced policies form the entire agreement.

24. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
